Denote Terms of Use

By downloading, installing, or using Denote, or by using the denote.cool website, you agree to these Terms. If you don't agree, don't use Denote.
Definitions
"Denote" or "the Software" means the Denote desktop application, the denote.cool website, and any updates, documentation, and related materials we provide.
"We", "us", or "our" means Made For Humans, LLC, the maker of Denote.
"You" means the person or organization using Denote.
License
We grant you a personal, non-exclusive, non-transferable, revocable license to install and use Denote on computers you own or control. You may not sell, rent, sublicense, redistribute, reverse engineer, or create derivative works of the Software, or remove any proprietary notices from it. Denote and everything in it (except your work and any open-source components, which are governed by their own licenses) belongs to us.
Your work
Everything you create with Denote — your projects, design files, specs, and anything else — is yours. Denote stores it on your machine, in locations you choose, and we never receive it. We claim no rights over your work.
You are responsible for backing up your files. Denote is a tool, not a storage service.
Claude Code and other third-party services
Denote embeds Claude Code, which requires your own Anthropic account and is governed by Anthropic's terms, pricing, and usage policies. We are not a party to that relationship. Anything you send to Anthropic through the terminal, any charges you incur, and any output Claude produces are between you and Anthropic. We are not responsible for the availability, accuracy, or behavior of Claude Code or any other third-party service Denote connects to.
Usage data
Denote collects anonymous usage and crash data as described in our Privacy Policy. By using Denote you agree to that collection, subject to the opt-out described there.
Acceptable use
You may not use Denote to build, plan, or promote anything that is illegal, that harasses or defames others, that infringes someone else's intellectual property, or that is designed to harm people or systems. We reserve the right to revoke your license if you do.
Updates and changes
Denote checks for updates automatically. We may add, change, or remove features at any time, and we may discontinue Denote altogether. Because your files live on your machine, discontinuation won't take your work away, but some features may stop working.
We may update these Terms. If we make significant changes, we'll update the date at the top of this page and note it in the release notes. Continuing to use Denote after a change means you accept the new Terms.
Price
Denote is currently free. If we introduce paid plans, we'll publish pricing, refund, and cancellation terms before charging anyone.
Disclaimer of warranty
Denote is provided "as is" and "as available," without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't promise that Denote will be error-free, uninterrupted, or that it will produce any particular result. Software has bugs; we fix the ones we find, but you use Denote at your own risk.
Limitation of liability
To the fullest extent permitted by law, we are not liable to you or anyone else for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising from your use of or inability to use Denote, however caused. Our total liability for any claim relating to Denote will not exceed the amount you paid us for it in the twelve months before the claim, or $50, whichever is greater.
Some jurisdictions don't allow these limitations, so they may not fully apply to you.
Governing law
These Terms are governed by the laws of the State of Connecticut, United States, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Connecticut.
